1. General

Acceptance of our quotation(s) includes acceptance of the following Terms & Conditions.

2. Period of Quotation

            The Quotation remains open for a period of 14 days unless previously withdrawn.

​

3. Basis of Quotation

  1. The quotation(s) are based on the work being affected during the working hours agreed.

  2. TIWCC will provide professional quality assured cleaning service at the agreed cost.

  3. The quote is based on the area being clear and prepared. All windows must be clear and closed before cleaning. Any open windows that cannot be closed won’t be washed.

  4. You must ensure that all areas to be cleaned such as windows, walls, facades/facias, signage, toldos, and solar panels are structurally sound before being cleaned.

  5. High glass and signage will be cleaned with the water-fed pole. If there are any areas of Limescale, paint, varnish, mastic, cement, mortar, glue labels or other building products this is not removable by pure water alone removal can be arranged at an additional cost.

  6. Internal Glass will be cleaned with traditional methods.

  7. When jet washing the jet wash will remove most stains from external flooring but not all may be removed.

 

4. Timescales and site access

  1. You shall provide full and clear access on agreed dates which will be confirmed by us in writing. If access is not provided on an agreed date, we reserve the right to charge for any wasted journey and costs incurred.

  2. We are unable to move any obstacles which may inhibit cleaning.

  3. We will not clean any areas we deem to be unsafe or inaccessible.

  4. You shall allow our workers to have access to electric and water tap if needed.

 

5. Survey / Free Demonstration

  1. The sole purpose of our inspection and free demonstration is to ascertain the feasibility of the proposed work.

  2. The contract price will be subject to site survey, areas to be cleaned and accessibility.

 

6. Terms of Payment

  1. A completed copy of the Order Form, signed by you, will form a Contract bound by these Standard Terms and Conditions

  2. We will not begin to process your order until the initial deposit referenced in your order form has been paid unless otherwise agreed.

  3. Any staged payments referenced in the order form shall be made within 2 working days. Final payment in full shall be due on completion of the work and shall be made within 7 days of the date of our invoice or written application submitted.

  4. Failure by the Customer to make any payment as aforesaid shall entitle the Contractor to suspend work and/or charge interest on the amount outstanding.

  5. The customer will be responsible for any costs incurred in failed payments for example cheques returned either unpaid or stopped. Any costs incurred in recovering these debts will be the responsibility of the customer and thus paid by the same to the contractor.

 

7. Completion

  1. TIWCC Ibiza shall endeavor to carry out the work within the period stipulated or, if no period is stipulated, within a reasonable time, but shall not be held responsible for any loss or damage arising out of delay due to any cause beyond their control.

  2. On completion the client or site representative will sign off the work. If there are any disputes the work must not be signed off. If there are any issues these must be pointed out and logged to TIWCC before work is signed off. In that case, the parties will try to find a reasonable solution for both of them negotiating in good faith.

 

8. Liability

  1. TIWCC (the contractor) is not legally liable vis-à-vis any third party, including the client, for any damage and/or loss suffered by the client and their property and/or any other third party as a result of the work carried out by TIWCC.

 

9. Spanish consumer law

In the event of a business (contractor) to consumer (client) commercial relationship, the provisions of the Spanish Consumer Law RD 1/2007 of 16 November will apply to this contract. The same will not apply in the case of a business to business commercial relationship.

 

10. Data protection

The Parties and especially the contractor oblige themselves vis-à-vis the other party, to treat their respective personal data that they receive as a result of this contract with due diligence and at all times following the instructions from the other party, being in addition obliged not to disclose such data to any third parties, applying at the same time all security measures that are legally compulsory with the purpose of preserving the integrity, confidentiality and disposal of the relevant personal data. 

The Parties always undertake in this respect to comply with all Spanish and EU laws relating to personal data protection.

 

11. Confidentiality

The Customer shall not at any time whether before or after the termination of this Contract divulge or use any unpublished technical information deriving from the Company or any other confidential information in relation to the company’s affairs or business method of carrying on business.

12. Communications

  1.         All notices under these Terms and Conditions and under the Contract shall be in writing and be deemed duly given if signed by, or on behalf of, a duly authorized officer of the Party giving the notice.

  2.         Notices shall be deemed to have been duly given:

    1. when delivered, if delivered by courier or other messengers (including registered mail) during the normal business hours of the recipient; or

    2. when sent, if transmitted by facsimile or e-mail and a successful transmission report or return receipt is generated; or

    3. on the fifth business day following mailing, if mailed by national ordinary mail, postage prepaid; or

    4. on the tenth business day following mailing, if mailed by airmail, postage prepaid.

  3.         All notices under this Agreement shall be addressed to the most recent address, e-mail address, or facsimile number notified to the other Party

  4.         Force Majeure
Neither Party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause that is beyond the reasonable control of that Party. Such causes include, but are not limited

to: power failure, Internet Service Provider failure, industrial action, civil unrest, pandemics, pandemics legal restrictions, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the Party in question.

  1.         Waiver
The Parties agree that no failure by either Party to enforce the performance of any provision in these Terms and Conditions or under the Contract shall constitute a waiver of the right to subsequently enforce that provision or any other provision in the future.

  2.         Severance
The Parties agree that, in the event that one or more of the provisions of these Terms and Conditions or the Contract are found to be unlawful, invalid or otherwise unenforceable, that / those provisions shall be deemed severed from the remainder of these Terms and Conditions (and, by extension, the Contract). The remainder of these and the Contract shall be valid and enforceable.

  3.         Third Party Rights
A person who is not a party to the Contract shall have no rights under the Contract.

  4.         Law and Jurisdiction

    1. These Terms and Conditions and the Contract (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of Spain.

    2. Any dispute, controversy, proceedings or claim between the Parties relating to these Terms and Conditions or to the Contract (including any non-contractual matters and obligations arising therefrom or associated therewith) shall fall within the jurisdiction of the courts of Ibiza, Spain.
